Welcome to UGCLab. These Terms of Service ("Terms") constitute a legally binding agreement between you and UGCLab governing your access to and use of our website, platform, and services. By accessing or using UGCLab, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Eligibility

To use UGCLab, you must be at least 16 years old and have the legal capacity to enter into a binding agreement. By using our services, you represent and warrant that you meet these requirements.

If you are using UGCLab on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

2. Account Registration

To access certain features of UGCLab, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

3. Description of Services

UGCLab is an AI-powered platform that enables users to create user-generated content (UGC) style advertisements and marketing materials. Our services include:

  • AI avatar generation and video creation
  • Text-to-speech and voice synthesis
  • Script generation and editing tools
  • Video editing and customization features
  • Content export and download capabilities

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

4. Acceptable Use Policy

You agree to use UGCLab only for lawful purposes and in accordance with these Terms. You are solely responsible for all content you create, upload, or distribute using our platform.

You agree NOT to use UGCLab to create, upload, or distribute content that:

  • Is illegal, fraudulent, or violates any applicable laws or regulations
  • Infringes on intellectual property rights, including copyrights, trademarks, or patents
  • Contains hate speech, discrimination, or promotes violence against individuals or groups
  • Is sexually explicit, pornographic, or obscene
  • Depicts or promotes violence, gore, or physical harm
  • Constitutes harassment, bullying, or threats toward any person
  • Spreads misinformation, disinformation, or deliberately false content
  • Is political in nature, including campaign materials, political advertisements, or propaganda
  • Promotes religious extremism or intolerance
  • Is controversial or designed to provoke public outrage
  • Promotes illegal activities, including drug use, weapons, or criminal behavior
  • Contains malware, viruses, or other harmful code
  • Violates the privacy rights of others

We reserve the right to remove any content that violates this policy and to suspend or terminate accounts of users who repeatedly violate these guidelines.

5. AI Avatars and Likeness Rights

UGCLab provides AI-generated avatars for creating video content. When using our avatar features, you agree to the following:

  • No Real Person Impersonation: You may not use our services to create content that impersonates or falsely represents a real person without their explicit written consent
  • No Unauthorized Likeness: You may not attempt to recreate, replicate, or approximate the likeness, voice, or appearance of any real person (including celebrities, public figures, or private individuals) without proper authorization
  • No Deepfakes: You may not create deceptive synthetic media intended to mislead viewers into believing something false occurred or was said by a real person
  • Commercial Representations: You may not falsely imply that a real person endorses your product, service, or brand without their consent

Violation of these likeness rights policies may result in immediate account termination and potential legal action.

6. Intellectual Property

Your Content

You retain full ownership of the content you create using UGCLab, including all videos, images, scripts, and other materials generated through our platform. You are free to use, modify, distribute, and commercialize your content as you see fit.

By using our services, you grant UGCLab a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing our services to you. This license terminates when you delete your content or close your account.

UGCLab Property

UGCLab and its licensors retain all rights, title, and interest in the platform, including but not limited to:

  • The UGCLab software, algorithms, and AI models
  • The UGCLab website, branding, and trademarks
  • Stock avatars and pre-made assets provided by UGCLab
  • Documentation and support materials

You may not copy, modify, reverse engineer, decompile, or create derivative works based on our technology without our express written permission.

7. User Responsibilities

As a user of UGCLab, you are responsible for:

  • Ensuring your content complies with all applicable laws and regulations
  • Obtaining all necessary rights, permissions, and consents for any third-party content you use
  • Reviewing AI-generated content before publishing or distributing it
  • Ensuring your advertisements comply with applicable advertising standards and regulations
  • Maintaining appropriate records for any commercial use of content created on our platform

8. Disclaimer of Warranties

UGCLab is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • Our services will be uninterrupted, secure, or error-free
  • AI-generated content will be accurate, appropriate, or suitable for your intended purpose
  • Results obtained from using our services will meet your expectations
  • Any defects in the service will be corrected

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate material, and you are solely responsible for reviewing and approving all content before use.

9. Limitation of Liability

To the maximum extent permitted by applicable law, UGCLab and its officers, directors, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use our services
  • Damages resulting from any content created using our platform
  • Any third-party claims related to your content or use of our services

Our total liability for any claims arising from these Terms or your use of UGCLab shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless UGCLab and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services
  • Content you create, upload, or distribute using our platform
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your violation of any applicable laws or regulations

11. Termination

We may suspend or terminate your access to UGCLab at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • Request by law enforcement or government agencies

Upon termination, your right to use UGCLab will immediately cease. All provisions of these Terms that should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice through our platform or via email.

Your continued use of UGCLab after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using our services.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of UGCLab shall be subject to the exclusive jurisdiction of the courts of Paris, France. You agree to submit to the personal jurisdiction of such courts.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Terms of Sale, constitute the entire agreement between you and UGCLab.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
